What is ESOP (Employee Stock Option Plan)?

LiveRec EditorialUpdated

An employee stock option plan (ESOP) gives employees the right to buy company shares at a set price after a vesting period. It is a long-term incentive, common in startups, and is not guaranteed cash. The Ministry of Labour and Employment says ESOPs are not part of "wages" under the Labour Codes.

Example

An offer grants options that vest over four years with a one-year cliff. If you leave before the cliff, you may get none. Tax is separate and follows the Income Tax Department's rules.

See variable pay and CTC.
